1. Acceptance of Terms

By downloading, installing, accessing, or using Authenticator* ("the App", "Service", or "Services"), you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and all applicable laws and regulations. If you do not agree to these Terms, you are prohibited from using or accessing the App.

These Terms constitute a legally binding agreement between you (whether personally or on behalf of an entity) and Arctec ("Company", "we", "us", or "our") concerning your access to and use of the Authenticator* mobile application and any related services.

We reserve the right to change or modify these Terms at any time and in our sole discretion. If we make material changes to these Terms, we will provide notice through the App or by other means. Your continued use of the App following the posting of changes constitutes your acceptance of such changes.

2. Description of Service

Authenticator* is a comprehensive two-factor authentication (2FA) and multi-factor authentication (MFA) application designed to enhance the security of your online accounts. Our services include:

  • TOTP Generation: Time-based one-time password generation compatible with RFC 6238 standard
  • HOTP Support: HMAC-based one-time password generation for supported services
  • Multi-Device Sync: Secure synchronization of your authentication data across your Apple devices
  • Backup & Restore: Encrypted backup options to prevent loss of access to your accounts
  • Security Features: Biometric authentication, passcode protection, and auto-lock functionality
  • Apple Watch Support: Generate codes directly from your Apple Watch
  • Widget Support: Quick access to your codes through iOS widgets

The App is designed to work with any service that supports standard TOTP/HOTP protocols. However, we do not guarantee compatibility with all services and are not responsible for third-party service implementations.

3. User Registration and Accounts

Account Creation

While Authenticator* does not require traditional user accounts, your use of certain features (such as cloud sync) may require authentication through your Apple ID. By using these features, you agree to:

  • Provide accurate and complete information
  • Maintain the security of your Apple ID credentials
  • Promptly update any information to keep it accurate and current
  • Accept responsibility for all activities that occur under your Apple ID

Security Responsibilities

You acknowledge and agree that you are solely responsible for:

  • Device Security: Maintaining the physical security of devices on which the App is installed
  • Access Control: Ensuring that only authorized individuals have access to your device and the App
  • Backup Management: Creating and maintaining secure backups of your authentication data
  • Passcode Protection: Using strong device passcodes and enabling biometric authentication where available
  • Recovery Codes: Safely storing any recovery codes provided by third-party services
  • Account Recovery: Understanding that loss of access to the App may result in loss of access to your protected accounts

4. Acceptable Use Policy

Permitted Use

You may use Authenticator* for its intended purpose of generating authentication codes for your personal or business accounts, subject to these Terms.

Prohibited Uses

You agree not to engage in any of the following prohibited activities:

  • Illegal Activities: Use the App for any illegal or unauthorized purpose, or in violation of any laws in your jurisdiction
  • Security Violations: Attempt to probe, scan, or test the vulnerability of the App or breach any security or authentication measures
  • Interference: Interfere with or disrupt the App or servers or networks connected to the App
  • Reverse Engineering: Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the App
  • Automated Access: Use any robot, spider, or other automated device to access the App for any purpose
  • Impersonation: Impersonate or misrepresent your affiliation with any person or entity
  • Code Sharing: Share, distribute, or sell authentication codes or seeds with unauthorized parties
  • Commercial Use: Use the App for commercial purposes without our express written consent
  • Malicious Use: Upload or transmit viruses, worms, or any code of a destructive nature

Enforcement

We reserve the right to investigate and take appropriate legal action against anyone who violates this Acceptable Use Policy, including without limitation, removing the offending content, terminating access to the App, and reporting such user to law enforcement authorities.

5. Third-Party Services

The App integrates with the following third-party services:

  • RevenueCat: For subscription and in-app purchase management
  • Firebase: For analytics, crash reporting, and performance monitoring
  • Adjust: For attribution and marketing analytics

Your use of these services is subject to their respective terms and privacy policies.

6. Subscription, Payments, and Premium Features

Free vs. Premium Features

Authenticator* offers both free and premium features. Free features include basic 2FA functionality, while premium features may include:

  • Unlimited account storage
  • Advanced backup options
  • Priority customer support
  • Custom icons and themes
  • Additional security features

Subscription Terms

If you choose to subscribe to premium features:

  • Billing: All subscriptions are billed through the Apple App Store and are subject to Apple's terms and conditions
  • Payment: Payment will be charged to your Apple ID account at confirmation of purchase
  • Auto-Renewal: Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current period
  • Renewal Charges: Your account will be charged for renewal within 24 hours prior to the end of the current period
  • Price Changes: We reserve the right to change subscription prices, with notice provided through the App Store
  • Free Trials: Any unused portion of a free trial period will be forfeited when you purchase a subscription

Cancellation and Refunds

  • Cancellation: You can cancel your subscription at any time through your App Store account settings
  • Effect of Cancellation: Upon cancellation, you will retain access to premium features until the end of the current billing period
  • Refunds: Refund requests must be directed to Apple through the App Store, as we do not have the ability to issue refunds directly
  • No Proration: No refunds or credits will be provided for partial subscription periods

7. Intellectual Property Rights

Our Intellectual Property

The App and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, and the design, selection, and arrangement thereof) are owned by Arctec, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

  • Download, install, and use the App for your personal, non-commercial use on devices you own or control
  • Access and use the App in accordance with these Terms

License Restrictions

You agree not to:

  • Modify, adapt, translate, or create derivative works based on the App
  • Distribute, sublicense, lease, rent, loan, or otherwise transfer the App to any third party
  • Remove, alter, or obscure any proprietary notices on the App
  • Use the App to develop a competing product or service

Feedback

If you provide us with any feedback, suggestions, or ideas regarding the App ("Feedback"), you grant us a worldwide, perpetual, irrevocable, royalty-free license to use, modify, and incorporate such Feedback into our products and services without any obligation to compensate you.

8. Disclaimers and Warranties

No Warranties

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER ARCTEC NOR ANY PERSON ASSOCIATED WITH ARCTEC MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE APP.

Specific Disclaimers

Without limiting the foregoing, we specifically disclaim all warranties, whether express or implied, including but not limited to:

  • Functionality: That the App will be uninterrupted, timely, secure, or error-free
  • Accuracy: That the results obtained from the use of the App will be accurate or reliable
  • Quality: Any implied warranties of merchantability, fitness for a particular purpose, or non-infringement
  • Compatibility: That the App will be compatible with all devices or operating system versions
  • Security: That the App will be free of viruses or other harmful components
  • Third-Party Services: The accuracy or reliability of any third-party services integrated with the App

Assumption of Risk

You acknowledge that:

  • Use of two-factor authentication does not guarantee the security of your accounts
  • Loss of access to the App may result in inability to access your protected accounts
  • We are not responsible for any loss of data, including authentication seeds or codes
  • You assume all risk associated with the use of the App and the security of your accounts

9. Limitation of Liability

Disclaimer of Certain Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ARCTEC, ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, COVER, OR CONSEQUENTIAL DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, REVENUE, SALES, GOODWILL, USE OF DATA, AUTHENTICATION CODES, OR OTHER INTANGIBLE LOSSES) HOWEVER CAUSED, UNDER ANY THEORY OF LIABILITY, WHETHER IN CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING NEGLIGENCE OR OTHERWISE) ARISING IN ANY WAY OUT OF THE USE OF THE APP, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

Specific Limitations

Without limiting the generality of the foregoing, we shall not be liable for:

  • Data Loss: Any loss or corruption of authentication data, seeds, or codes stored in the App
  • Account Access: Inability to access your third-party accounts due to loss of authentication codes
  • Security Breaches: Any security breach of your third-party accounts, except where directly caused by our gross negligence
  • Service Interruptions: Any interruption or cessation of transmission to or from the App
  • Third-Party Actions: Acts or omissions of any third party, including other users of the App
  • Unauthorized Access: Any unauthorized access to or use of our servers and/or any personal information stored therein
  • Technical Failures: Any bugs, viruses, or other harmful code that may be transmitted through the App
  • Compatibility Issues: Any incompatibility between the App and your device or operating system

Cap on Liability

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE PAST TWELVE (12) MONTHS, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Essential Purpose

YOU AGREE THAT THE LIMITATIONS OF LIABILITY SET FORTH IN THIS SECTION ARE ESSENTIAL ELEMENTS OF THE BARGAIN BETWEEN YOU AND US, WITHOUT WHICH WE WOULD NOT PROVIDE THE APP TO YOU.

10. Indemnification

Your Indemnification Obligations

You agree to defend, indemnify, and hold harmless Arctec, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms
  • Your use of the App, including any data or content transmitted or received by you
  • Your violation of any applicable laws, rules, or regulations
  • Your infringement of any third-party rights, including intellectual property rights
  • Any misrepresentation made by you
  • Your negligence or willful misconduct

Procedure

We will notify you of any such claim, suit, or proceeding and may assist, at your expense, in defending any such claim, suit, or proceeding. You may not settle any claim without our prior written consent.

11. Term and Termination

Term

These Terms remain in effect while you use the App and until terminated by either you or us.

Termination by You

You may terminate these Terms at any time by:

  • Deleting the App from all your devices
  • Canceling any active subscriptions through the App Store
  • Ceasing all use of the App and its services

Termination by Us

We may terminate or suspend your access to the App immediately, without prior notice or liability, for any reason whatsoever, including without limitation if:

  • You breach any provision of these Terms
  • We are required to do so by law
  • We discontinue the App or any service related to the App
  • We believe your actions may harm us, other users, or third parties

Effects of Termination

Upon termination:

  • All rights granted to you under these Terms will immediately cease
  • You must immediately stop using the App and delete it from all devices
  • Any provision of these Terms that by its nature should survive termination shall survive
  • You will lose access to any data stored exclusively in the App

12. Dispute Resolution

Informal Resolution

Before filing a claim, you agree to try to resolve any dispute informally by contacting us at [email protected]. We'll try to resolve the dispute informally by contacting you via email. If a dispute is not resolved within 30 days of submission, you or Arctec may bring a formal proceeding.

Binding Arbitration

You and Arctec agree to resolve any claims through final and binding arbitration, except as set forth under Exceptions to Agreement to Arbitrate below. The arbitration shall be commenced and conducted under the Commercial Arbitration Rules of the American Arbitration Association ("AAA") and, where appropriate, the AAA's Supplementary Procedures for Consumer Related Disputes.

Exceptions to Agreement to Arbitrate

Either party may bring a lawsuit solely for injunctive relief to stop unauthorized use or abuse of the App, or intellectual property infringement without first engaging in arbitration or the informal dispute-resolution process described above.

No Class Actions

You may only resolve disputes with us on an individual basis, and may not bring a claim as a plaintiff or a class member in a class, consolidated, or representative action.

13. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the App, constitute the entire agreement between you and Arctec concerning the App.

Governing Law and Jurisdiction

These Terms are governed by the laws of the State of California without regard to its conflict of law provisions. You and Arctec agree to submit to the personal and exclusive jurisdiction of the state and federal courts located within Santa Clara County, California.

Waiver and Severability

Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions will continue in effect.

Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign our rights under these Terms without restriction.

Force Majeure

We shall not be liable for any failure or delay in performance under these Terms which is due to acts of God, natural disasters, pandemic, war, terrorism, riots, government actions, or other unforeseeable causes that are beyond our reasonable control.

Export Compliance

You may not use or otherwise export or re-export the App except as authorized by United States law and the laws of the jurisdiction in which the App was obtained.
